This Referral Partner Agreement comes into force on the date you
accept it by ticking the acceptance box during the signup process.
BETWEEN
(1) EcoSend, a trading name of Go Squared Ltd. registered in England
under company number 05696757, whose registered office is at: 134b Landells Road, London, United Kingdom, SE22 9PL ("EcoSend", "we", "us").
(2) The Referral Partner, being the individual or business who creates a Partner Account on the Dub platform and confirms acceptance of this Agreement by ticking the acceptance box ("Partner", "you").
WHEREAS
- EcoSend operates an email marketing platform and provides
subscription-based services to its clients. - The Partner wishes to promote EcoSend's services and refer potential
clients. - EcoSend agrees to pay the Partner a referral commission on
subscription fees received from eligible clients referred by the
Partner, subject to the terms of this Agreement.
1. Definitions and Interpretations
1.1 Defined Terms
"Agreement"
This Partner & Referral Agreement, as updated from time to time.
"Business Day"
Any day other than a Saturday, Sunday or bank holiday in England and Wales.
"Commission"
The percentage of Eligible Subscription Fees payable to the Partner for each Referred Client, as displayed within the Dub Platform at the time of referral.
"Commission Period"
The period during which Commission is payable for a Referred Client.
"Confidential Information"
All business, technical, financial or other information exchanged between the parties.
"Dub Platform"
The third-party platform used to manage referral links, track referrals and administer the Partner Program.
"Effective Date"
The date on which the Partner ticks the acceptance box.
"Eligible Subscription Fee"
Net subscription fees actually received by EcoSend, excluding VAT, refunds, chargebacks, discounts, credits, or unpaid amounts.
"Ethical Policy"
EcoSend's Ethical Policy, available at https://ecosend.io/terms/ethical-policy.
"Partner Program"
The referral program operated by EcoSend.
"Referred Client"
A client who:

(a) signs up using the Partner's referral link or code;

(b) has not been an EcoSend customer in the preceding 24 months,

(c) pays for an active Subscription.
"Referral"
The process of introducing a potential client using the Partner's unique referral link or code.
"Subscription"
A paid EcoSend subscription billed monthly or annually.
"Subscription Term"
Each period for which a Referred Client has paid in advance.
1.2 Interpretation
References to "writing" include electronic communications. References to clauses refer to this Agreement unless otherwise stated.
1.3 General Interpretation
References to persons include corporations and unincorporated entities.
Singular includes plural and vice versa.
2. Appointment
2.1 The Partner wishes to receive financial compensation for referring Referred Clients to EcoSend.
2.2 This Agreement becomes legally binding on the Effective Date.
2.3 The appointment is non-exclusive; the Partner may promote other
services unless doing so conflicts with EcoSend's interests.
2.4 EcoSend shall pay Commission for each Referred Client in accordance
with Clause 5.
3. Referrals
3.1 The Partner may refer potential clients using their referral link
provided via the Dub Platform.
3.2 A referral qualifies only if all conditions below are met:
- 3.2.1 The client signs up using the Partner's referral link or
code. - 3.2.2 The client is not a current or recent EcoSend client (past 24
months). - 3.2.3 The client completes registration and begins a paid
Subscription. - 3.2.4 EcoSend receives cleared funds for the first Subscription
payment. - 3.2.5 No refunds, cancellations or chargebacks occur during the
initial billing period. - 3.2.6 The referral is not self-referral or fraudulent.
3.3 The Partner must only refer individuals who comply with EcoSend's
Ethical Policy.
3.4 EcoSend retains full discretion regarding acceptance of any Referred
Client.
4. EcoSend Obligations
4.1 EcoSend will track Referred Clients and Commission via the Dub
Platform.
4.2 EcoSend will provide access to referral performance data and
Commission statements.
4.3 EcoSend is not required to follow up with any non-qualifying or
ineligible referrals.
5. Commission Payment, Tax and Referred Clients
5.1 Commission is payable only when a Referred Client qualifies under
Clause 3.2. The applicable rate and duration are those shown in the Dub
Platform at the time of eligibility.
5.2 Commission is payable only on Eligible Subscription Fees actually
received. It is paid gross without VAT. The Partner is responsible
for their own taxes.
5.3 Commission is automated through the Dub Platform once payout details
are provided.
5.4 If a Referred Client cancels, no further Commission accrues beyond
the final paid term.
5.5 If a Referred Client changes plan, Commission adjusts accordingly.
5.6 EcoSend may update rates for future referrals only.
5.7 EcoSend may deduct refunded, fraudulent or unpaid amounts from
future Commission.
5.8 Referred Clients subscribe under EcoSend's standard terms.
Commission is payable only on fees actually received.
6. Relationship of the Parties
6.1 Nothing in this Agreement creates a partnership, joint venture,
employment or agency relationship.
6.2 The Partner has no authority to bind EcoSend in any way.
7. Confidentiality
7.1 Both parties must keep all Confidential Information confidential
except where:
- 7.1.1 It is public through no breach;
- 7.1.2 It was already known to the recipient;
- 7.1.3 It is disclosed by a third party with the right to do so;
- 7.1.4 Disclosure is required by law.
8. Data Protection
Both parties will comply with applicable UK data protection laws,
including UK GDPR and the Data Protection Act 2018.
Each party must process personal data in accordance with its Privacy
Notice.
9. Non-Circumvention
Both parties agree not to circumvent or attempt to circumvent the
Agreement.
10. Termination
10.1 EcoSend may terminate immediately if the Partner:
- 10.1.1 commits a material breach not remedied within 14 days;
- 10.1.2 engages in fraudulent, unethical or spam-related activities;
- 10.1.3 refers clients in breach of the Ethical Policy;
- 10.1.4 becomes insolvent.
10.2 Either party may terminate with 14 days' written notice.
Partners must email support@ecosend.io to terminate.
10.3 No new Commission accrues after termination.
10.4 Commission already earned remains payable unless termination was
due to Partner fraud or Ethical Policy breach.
10.5 Termination does not affect accrued rights.
11. Nature of Agreement
11.1 The Agreement is personal; it may not be assigned or delegated
without written consent.
11.2 This Agreement constitutes the entire agreement between parties
regarding referrals.
11.3 Parties confirm that they are not relying on any representations
outside this Agreement.
11.4 Failure to enforce rights is not a waiver.
11.5 If any provision is invalid, the remainder stays in effect.
12. Notices and Service
12.1 Notices must be sent by email to the most recently used email
addresses.
12.2 Notices are deemed given on the date of transmission.
12.3 Legal documents must be delivered to the registered or principal
office of the other party.
13. Set Off
EcoSend may deduct or withhold payments owed to the Partner for any
lawful set-off or counterclaim.
14. Jurisdiction
14.1 This Agreement is governed by the laws of England and Wales.
14.2 Parties submit to the exclusive jurisdiction of the English and
Welsh courts.
15. Acceptance and Electronic Agreement
By ticking "I agree" when registering for the Partner Program, the
Partner agrees to be bound by this Agreement.
